These Terms of Service ("Terms") govern your use of the Eggvy mobile application (the "App"), the Eggvy website (the "Site"), and related services (together, the "Services").
For clarity in these Terms:
You must be at least 18 years old to use the Services. If you are under 18, you may not create an account or use the App.
By using the Services, you represent that you have the legal capacity to enter into a binding contract in your jurisdiction.
The Services are intended exclusively for users located in the United States. Eggvy targets U.S. users only and does not offer its Services to residents of the EU/EEA/UK. If you access the Services from outside the United States, you acknowledge and agree that Eggvy makes no representation that the Services are lawful or available in your jurisdiction, and you consent to the exclusive application of U.S. law and the dispute resolution procedures set out in these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

To use certain features, you must create an Eggvy account. You agree to provide accurate, current, and complete information.
You are solely responsible for safeguarding your password and other login credentials. You agree to notify us immediately of any unauthorized use of your account.
We may require additional verification methods (e.g., email confirmation, device verification) to protect your account.
You may close your account at any time through in-app settings or by contacting support.
We may suspend or terminate your account if you violate these Terms, misuse the Services, or engage in fraudulent or illegal activity.
To provide budgeting insights, the App allows you to link your bank accounts. Linking is handled by a third-party Connector. Connectors used by Eggvy are selected to operate under U.S. data processing standards and contracts. Eggvy never sees or stores your banking credentials. Eggvy may change Connectors from time to time; you will be notified of any material change affecting how your account data is accessed.
By linking accounts, you authorize the Connector and Eggvy to:
We rely on the Connector and your financial institution for data accuracy. Eggvy is not responsible for delays, errors, or inaccuracies in imported transaction data.
You may revoke account linking at any time within the App. This may limit or disable certain features.

You may not use or export the App except as authorized by U.S. law and the laws of your jurisdiction. By using the Services, you represent you are not subject to U.S. trade restrictions.
Eggvy is a free application funded through advertisements, sponsored offers, and referral arrangements with third parties.
We may display third-party financial products, loan offers, or advertisements. These offers are provided for informational purposes only. Eggvy does not endorse, guarantee, or assume responsibility for third-party products or services.
Eggvy may receive compensation if you engage with sponsored offers or apply for financial products through the Services. This does not affect the impartiality of budgeting insights generated by the App.
You are solely responsible for evaluating whether a third-party product, offer, or service is appropriate for your circumstances.
In the U.S., Eggvy complies with the Federal Trade Commission (FTC) rules on endorsements and advertising.
"User Content" means any data, text, images, comments, or feedback you upload, submit, or transmit via the Services (excluding financial transaction data imported from your accounts).
You retain ownership of your User Content. However, by submitting User Content, you grant Eggvy a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, host, reproduce, adapt, publish, translate, and distribute such content for the purposes of operating and improving the Services.

If you submit feedback, suggestions, or ideas about the Services ("Feedback"), you acknowledge that Eggvy may use this Feedback without restriction or compensation.
Eggvy reserves the right (but has no obligation) to monitor or remove User Content that violates these Terms.
The App is currently offered to users free of charge.
Eggvy reserves the right to introduce premium features or subscription plans in the future. If so, we will provide clear notice of applicable fees, terms, and cancellation rights.
Your mobile network provider, app store, or financial institution may charge fees (e.g., for data usage, SMS, transfers). Eggvy is not responsible for such charges.
If in-app purchases are introduced:
You are responsible for paying any applicable taxes arising from your use of the Services.
The Services, including the App, Site, software, design, trademarks, logos, and other intellectual property, are owned and controlled by Eggvy or its licensors. They are protected by copyright, trademark, trade secret, and other intellectual property laws.
You are granted only a limited license to use the Services under these Terms. No ownership rights are transferred to you.

Any third-party trademarks, logos, or content displayed within the Services belong to their respective owners and are used with permission.

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
We rely on third-party Connectors and your financial institutions to provide account and transaction data. Eggvy does not guarantee:
Eggvy does not warrant, endorse, or assume liability for products, services, or content provided by third parties (including Financial Partners, advertisers, or external websites).
We do not guarantee uninterrupted access to the Services. Features may be changed, suspended, or discontinued at any time without notice.
U.S. (FTC/State Laws): Disclaimers will be enforced to the maximum extent permitted by law.
To the maximum extent permitted by law, Eggvy, its affiliates, officers, employees, licensors, and agents shall not be liable for any:
In no event shall Eggvy's total liability arising out of or relating to the Services exceed the greater of (a) USD $100, or (b) the total fees you paid to Eggvy (if any) in the 12 months preceding the event giving rise to the claim.
We are not liable for unauthorized access, loss, or corruption of data unless caused by Eggvy's gross negligence or willful misconduct.
The above limitations do not exclude liability any liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless Eggvy, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:
We will notify you of any claim subject to indemnification and provide reasonable assistance in defending the claim. You may not settle any claim without our prior written consent.
You may stop using the Services at any time and delete the App from your device.
We may suspend or terminate your access to the Services at our sole discretion, with or without cause, and with or without notice.

These Terms and any disputes arising from the Services will be governed by the laws of the State of Texas, without regard to its conflict of law principles.

For U.S. users: Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Austin, Texas, and will be conducted on an individual basis (not as a class action).
Notwithstanding the above, either party may bring claims in small claims court or seek injunctive relief for intellectual property infringement.
You may only resolve disputes with Eggvy on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.
We implement reasonable security measures to protect your information. However, no system is completely secure, and we cannot guarantee the absolute security of your data.
We may modify these Terms at any time. If we make material changes, we will provide notice through the Services, by email, or by other means.
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eggvy regarding the Services.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. Eggvy may assign these Terms without restriction.
We are not liable for any failure to perform due to causes beyond our reasonable control.
These Terms are between you and Eggvy, not with the app store provider (e.g., Apple, Google). The app store provider has no responsibility for the App or its content.
Your use of the App must comply with the app store's terms of service.
The app store provider has no obligation to provide maintenance and support services for the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify the app store provider, who may refund the purchase price (if any) for the App. To the maximum extent permitted by law, the app store provider will have no other warranty obligation.
You acknowledge that when you download, install, or use the App, Eggvy may use automatic means to collect information about your device and about your use of the App. You consent to the transmission of this information as described in our Privacy Policy.
Eggvy may from time to time develop and provide App updates, which may include upgrades, bug fixes, patches, and other enhancements. You agree to receive such updates automatically as part of your use of the App.
The App may display or make available content from third parties or provide links to third-party websites. Eggvy is not responsible for Third-Party Materials and you access them at your own risk.
The App is commercial computer software. If acquired by or on behalf of a U.S. government agency, the government acknowledges that (a) the App is "commercial computer software" or "commercial computer software documentation" and (b) the government's rights are limited to those granted to all other end users.
